Terms of Service
These Terms of Service cover the use of and access to the Skalenda service, the www.skalenda.me website and the related web services. By using Skalenda, you agree to be bound by these Terms and by the Privacy Policy. Skalenda being a B2B service, if you are using Skalenda on behalf of an organisation you are automatically accepting these Terms on that organisation’s behalf.
Skalenda is a product of Jinni S.r.l., Via Mosè Bianchi 71, 20149 Milan (MI), Italy — VAT number and tax code 09316480962, company register REA MI-2083573.
Your data and your permissions
When you use our Service, you provide Skalenda with your organisation’s data: the bookable resources, the floor plans, the users, the bookings and the content you upload. This data is yours and yours alone. These Terms grant us no rights over it, other than to the extent strictly necessary to deliver the service.
To let you use Skalenda we need your permission to store, process and display your data: that is what makes the availability calendar, the interactive floor plans, the notifications, the usage statistics and the platform’s other features possible. You grant us permission to carry out these operations, and that permission extends to the technical providers we rely on, always in compliance with the data protection by design and by default requirements of Regulation (EU) 2016/679 (GDPR).
In the processing of your users’ personal data, you are the data controller and Jinni acts as data processor under Article 28 GDPR: the relationship is governed by the Data Processing Agreement (DPA) we make available and which, once signed, prevails over these Terms in everything concerning personal data.
We may use aggregated and anonymised data, which does not allow you or your organisation to be identified, for statistical purposes and to improve the product.
Resources and bookings
Skalenda lets you make your organisation’s resources bookable — meeting rooms, desks, parking spaces, vehicles, equipment — and manage how your users book them, with floor plans, waiting lists, check-in and approval rules.
You decide which resources to make available, who can book them and under which rules. It remains your responsibility to check that the configurations, the assignments and the rules reflect your organisation’s internal needs and policies.
User responsibilities
As a user, you are responsible for your conduct and for the content you upload. You must comply with applicable laws and with other people’s intellectual property rights: do not upload or share content unless you have the right and the permission to do so.
Skalenda is designed to handle booking data and the organisation of spaces. Do not enter data into the service that goes beyond this purpose, and in particular:
- special categories of personal data under Article 9 GDPR (health data, biometric data, data revealing religious beliefs or political opinions) or data relating to criminal convictions (Article 10 GDPR);
- payment data, such as credit card numbers or bank details;
- unlawful or defamatory content, or content infringing third-party rights.
The files you upload (floor plans, photographs, logos) are subject to the format and size limits shown in the interface. We carry out no prior moderation and no antivirus scanning of uploaded content: that check remains yours. Jinni is not responsible for the content you upload to the platform, but reserves the right to review user conduct to ensure it does not breach these Terms, and to remove manifestly unlawful content.
You may not resell or lease the service to third parties, attempt to access the source code, decompile or replicate it, use it to develop a competing product, run unauthorised vulnerability testing, circumvent the platform’s technical limits or generate abnormal loads with automated tools. The platform’s invitation, notification and email features must be used solely for booking and resource management purposes: you may not use them for unsolicited communications, spam, misleading messages or messages with a falsified origin (spoofing, phishing).
Access to the platform
Access to the platform depends on strictly personal credentials.
- By accessing Skalenda you provide Jinni S.r.l. with information linked to the account, such as IP address, date and time of connection, as well as the email address, first name and last name set when the account was created.
- The platform attributes every operation performed from an account to that account, and cannot provide information on the specific individual involved where several people log in with the same credentials.
- You are therefore required to keep your credentials in a safe place, not to share them with third parties and not to grant access to them.
- To protect accounts, repeated failed login attempts result in the account being temporarily locked, and login requests are subject to rate limits.
- If you suspect unauthorised access, you must inform us without delay. Your organisation’s administrators are required to promptly revoke access for users who leave the organisation.
Integrations and artificial intelligence features
Skalenda can be connected to third-party services of your choosing: external calendar synchronisation and login through identity providers. Enabling each integration is your choice, requires you to supply the relevant credentials and entails accepting that provider’s terms. We are not answerable for the operation, the availability or the changes of third-party services, and we may disable an integration if the provider discontinues support for it.
The AI-based analytics features are optional and switched off by default. They work exclusively with your own API key (bring your own key): you choose the AI provider, you enter into your own relationship with it and you bear its costs directly.
When the feature is enabled, only the question written by the user and the database structure (table and column names) are transmitted to the AI provider. Bookings, user records and your content are not transmitted: the provider returns only a query, which is validated and executed on our infrastructure, and the results are not sent to it.
Bear in mind that the question is free text written by the user and may therefore contain personal data, and that the AI provider may be based outside the European Economic Area. The choice of provider and the assessment of any such transfer remain yours, as data controller. We do not transmit your data to third parties for model training purposes.
AI-generated results are a support tool for analysis and are no guarantee of accuracy: management decisions remain yours.
Service availability, backups and data retention
We keep the service continuously available and act promptly on malfunctions, with ordinary professional diligence. Scheduled maintenance is, as far as reasonably possible, announced in advance and carried out in low-impact time slots.
In the absence of a service level agreement (SLA) signed in writing, Skalenda offers no availability guarantees expressed as a percentage and no penalties for unavailability. SLAs, recovery objectives and dedicated backup policies are available in the plans for large organisations and public administrations, and are set out in the offer.
Again unless otherwise agreed in writing, we do not guarantee the retention, backup or restoration of your data and we are not answerable for its loss or alteration. Our liability in the event of wilful misconduct or gross negligence remains unaffected.
When the relationship ends you have 30 days to export your data; upon written request received within that period, we will provide you with an extract in a structured, commonly used format. After the 30 days we will delete your data, subject to statutory retention obligations.
Trial period
If we offer you the possibility of using Skalenda for a free trial period, this is agreed in writing, it entails no automatic conclusion of a contract at its end and it requires no payment data.
Trial environments, demonstration environments and free onboarding activities are provided “as is”, without warranties and without support obligations, and may be changed or discontinued at any time. At the end of the trial, since you are the sole owner of the data, the data entered into the trial environment may be deleted.
Commercial terms
The commercial terms — number of active resources, rate, billing frequency, term and renewal — are set out in the signed offer between you and Jinni S.r.l., following the model published on the Pricing page. Prices are in euro and exclusive of VAT.
In the event of late payment, default interest accrues under Italian Legislative Decree 231/2002 and we may suspend the service upon written notice, without prejudice to our right to payment of the fees accrued.
In the event of a conflict between these Terms and the signed offer, the offer prevails.
Our services
Skalenda and its related services are protected, in whole or in part, by copyright, trade mark and other intellectual property laws in force in Italy and in the European Union. These Terms grant no right, title or interest in Skalenda and its services, in the content produced by Jinni S.r.l. for Skalenda, in the Skalenda trade marks and logos, or in other brand features. The graphic customisation features offered by the platform do not authorise you to remove or alter the notices identifying the ownership of the service.
Skalenda is delivered in the cloud and is subject to continuous updates: we may add, change or remove features to improve the product or to comply with technical and regulatory obligations. If a change significantly reduces an essential feature you are using, we will notify you at least 30 days in advance, except for urgent security measures; if you do not accept it you may withdraw without penalty, with a pro-rata refund of any prepaid period not used. Features identified as experimental or in preview are provided “as is” and may be withdrawn without notice.
Suggestions and improvement proposals you send us may be freely used to develop the service, without this entailing any obligation of acknowledgement or payment. Unless you tell us otherwise in writing, we may cite your name and your logo among our customers.
Copyright
We respect other people’s intellectual property and we ask you to do the same. We respond to notices of alleged copyright infringement where they comply with the law. We reserve the right to remove or disable content representing alleged infringements, and to suspend the accounts of repeat copyright infringers. To report an alleged infringement, write to info@jinni.srl.
Limitation of liability
To the maximum extent permitted by law, the total liability of Jinni S.r.l. towards you, on any ground connected with the service, is limited to the fees actually paid in the 12 months preceding the event giving rise to the claim for damages.
We are not answerable for indirect damages, loss of profits, loss of business opportunities or loss of data attributable to causes beyond our control. No limitation applies in the event of wilful misconduct or gross negligence, of personal injury, or in cases where the law does not allow limitations of liability.
You also undertake to hold Jinni S.r.l. harmless from third-party claims arising from the content you upload or from use of the service in breach of these Terms.
Changes to these Terms
We may update these Terms to reflect the evolution of the service or regulatory obligations. Material changes are announced at least 30 days in advance; if you do not accept them you may stop using the service and withdraw without penalty, with effect from the date the new terms come into force. The current version is always the one published on this page, with the last-updated date shown at the top.
Governing law and jurisdiction
These Terms are governed by Italian law. The Courts of Milan have exclusive jurisdiction over any dispute concerning their interpretation, performance or termination.
Under Articles 1341 and 1342 of the Italian Civil Code, you specifically approve the clauses relating to: user responsibilities, service availability and the absence of guarantees on backups and data retention, trial period, suspension for non-payment, changes to the service and to the Terms, limitation of liability and indemnity, exclusive jurisdiction.
